1. Definitions

1. Aircraft Charter Brokerage Contract: The contract provided by Finer Aviation LTD to the Charterer setting out the details of the Charter (including aircraft type, date and time of Charter, route of Charter, number of Passengers, amount of luggage/cargo).
2. Ancillary Services: Any services not included in the Charter Services, such as ground transportation, helicopter transfer, additional catering, satellite phone usage, Wi-Fi usage, de-icing/anti-icing, fuel surcharges, insurance surcharges, costs for any delays caused by adverse weather or air traffic control, costs for any diversions caused by circumstances beyond the operator's control, fees related to cleaning or any other damage to the aircraft, among other things.
3. Broker: Finer Aviation LTD.
4. Charter: The charter of an aircraft as specified in this Contract.
5. Charter Price: The cost specified in section 4 Charter Price.
6. Charter Quotation: The quotation provided by Finer Aviation LTD as defined in section 3 Brokerage.
7. Charter Services: The charter of the aircraft and certain additional services as outlined in the Contract, including crew.
8. Charterer: The customer who charters the aircraft.
9. Confirmation Date: The date specified for confirmation in section 4 Charter Price.
10. Departure Location: The airport or nearby airports used to park the aircraft until the flight departure time.
11. Estimated Departure Time: The scheduled time the booked flight is meant to leave the departure airport.
12. Operation Date: The date specified for operation in section 4 Charter Price.
13. Operator: The provider of air transportation services that operates, maintains, and/or charters the aircraft.
14. Passengers: Defined in section 3 Brokerage.
15. Request for Quotation: The request made by the Charterer as defined in section 3 Brokerage.

2. Role of Finer Aviation LTD

• Finer Aviation LTD acts as an intermediary between the Charterer and the Operator by chartering aircraft as an agent on behalf of the Charterer.
• Finer Aviation LTD does not operate, maintain, or own aircraft and does not provide air transportation services.

3. Brokerage

• The Charterer may contact Finer Aviation LTD through various means (website, social media, email, phone, etc.) to request a quotation for chartering an aircraft.
• The Request for Quotation and the Charter Quotation do not constitute an offer to contract.
• The issuance of an Aircraft Charter Brokerage Contract by Finer Aviation LTD constitutes an offer that requires acceptance within the stipulated acceptance period.
• Upon acceptance, the Broker will charter the aircraft as an agent on behalf of the Charterer.

4. Charter Price and Ancillary Services

• The price quoted in the Aircraft Charter Brokerage Contract includes the cost for the Charter Services for the specified number of Passengers and luggage/cargo, including the crew.
• The Charter Price does not include Wi-Fi, smoking, aircraft de-icing costs, passengers’ ground transportation, or any other special requests unless specified in writing upon signature. A flight attendant is only included if pre-advised.
• Additional Ancillary Services may incur extra costs, which the Charterer is liable for.
• Any special requests will be invoiced separately.
• The Charterer must request any changes to the number of Passengers or luggage/cargo from Finer Aviation LTD, and upon confirmation, will be liable for the related costs.

5. Payment

• Payments are due upon receipt of invoice and must be made via the agreed payment method: wire/bank transfer, credit/debit card, crypto transfer, or other as agreed with a Finer Aviation representative.
• Finer Aviation LTD may implement a credit card hold and release it upon settlement of all payments.
• The Charterer represents that the credit card holder consents to payments and guarantees.

6. Changes & Cancellation

• Charterer may request changes such as Departure Location or Estimated Departure Time. Confirmation of changes requires an amended Contract.
• Cancellation conditions apply as follows:
  • 25% of the Charter Price if cancelled after contract exchange.
  • 50% of the Charter Price if cancelled within 72 hours prior to STD.
  • 100% of the Charter Price if cancelled 48 hours prior to STD.
• The Charterer is liable for additional costs due to delays, deviations, or cancellations.
• Non-payment of the Charter Price or any instalment thereof allows Finer Aviation LTD to cancel the Charter Agreement without compensation.

7. Charterer’s & Passengers’ Obligations & Compliance with Laws

• Charterer must provide all necessary information and comply with all relevant laws and Operator's rules.
• The captain of the aircraft has full authority over the flight.
• Non-compliance can result in refusal to perform the Charter and additional costs for the Charterer.
• Pets are only carried with prior approval from Finer Aviation LTD.
• Passengers must have necessary travel documents (passport, visas, medical certificates, etc.).
• Full passport information for all passengers must be provided at least 24 hours prior to departure.
• The Charterer is liable for any damages due to inappropriate behavior or misuse of the aircraft.

8. Dangerous Goods Regulations (DGR)

• The transport of dangerous goods (e.g., lithium batteries, flammable liquids, compressed gases, guns, ammunition) is strictly prohibited. Refer to the IATA Dangerous Goods Regulations for a full list.

9. Force Majeure

• Neither party shall be liable for failure to perform obligations due to events beyond their control (acts of God, war, terrorism, natural disasters, pandemics, etc.).
• The affected party must notify the other in writing and attempt to mitigate the impact.

10. Warranties, Liability, Indemnity

• Finer Aviation LTD's liability is limited to the fullest extent permitted by law.
• The Charterer’s sole recourse for Operator performance claims shall be against the Operator.
• The Charterer must indemnify Finer Aviation LTD against damages from breaches of these Terms & Conditions.

11. Miscellaneous

• The Charterer must keep the Charter Price confidential.
• Finer Aviation LTD processes personal data according to its Privacy Policy.
• Finer Aviation LTD may refuse services at its discretion.
• These Terms & Conditions constitute the entire agreement and may be amended.
• The flight schedule is subject to weather, airport conditions, and unforeseen circumstances.
• Passengers must arrive 45 minutes before departure.

12. Governing Law & Jurisdiction

• This Contract is governed by the laws of the United Kingdom.
• Any disputes shall be submitted to the exclusive jurisdiction of the courts of the United Kingdom.
